Terms of Service
These Terms of Service (the “Terms”) constitute a binding legal agreement between you you and the entity or entities that operate UmiAi (collectively, “UmiAi”, “we”, “us”, or “our”), and govern your access to and use of the UmiAi platform, applications, websites, channels, mini-apps, games, AI services, wallet and digital asset features, creator tools, advertising and commerce features, and any other products and services that we provide (collectively, the “Services”). By creating an account, accessing the Services, or otherwise using any features of UmiAi, you agree to comply with and be bound by these Terms and all policies and rules referenced herein, including our Privacy Policy, Community Guidelines, Advertising & Branded Content Policy, Cookies Policy and any other supplemental terms posted on the platform from time to time. If you do not agree to these Terms, do not access or use the Services.
1. Definitions
In these Terms, unless the context otherwise requires, the following capitalized terms have the meanings set out below:
“Account” means any user account established on the Services by or for you.
“User Content” means any content you create, upload, submit, post, distribute, or otherwise make available through the Services, including but not limited to text, images, audio, video, links, software, comments, and any interactive content.
“Digital Assets” means cryptocurrencies, tokens, points, credits, virtual items, collectibles, or any other digital representation of value available through the Services.
“Wallet” means any feature, service, or interface provided by UmiAi that permits the holding, transfer, or receipt of Digital Assets, whether custodial, non-custodial, or hybrid.
“AI Services” means UmiAi’s models, tools, APIs, or features that perform automated generation or transformation of text, imagery, audio, music, video, code or other content, including prompt processing and model inference.
“Channels” means public, private, subscription, or broadcast channels, feeds, or community spaces hosted on the Services.
“Mini-Apps / Games” means lightweight applications, interactive experiences, games, or software provided by UmiAi or third-party developers and accessible within the Services.
“Third-Party Services” means services, content, or software provided by entities other than UmiAi that may be integrated with or accessible through the Services.
Capitalized terms not defined here have the meanings ascribed to them elsewhere in the Terms.
2. Eligibility and Capacity
You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding contract in the jurisdiction in which you reside. If you are using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to the Terms and that the entity will be responsible for your compliance. You may not access or use the Services if applicable law prohibits your use, if you have been previously removed or barred from the Services, or if you are otherwise prohibited from entering into contracts.
3. Account Registration; Verification; Account Security
3.1 Registration. To create an Account you must provide accurate, current and complete registration information, including a valid email address or phone number, and any other information requested by UmiAi. You agree to promptly update your Account information as necessary to keep it accurate and complete.
3.2 Verification; KYC/AML. We may require identity verification or Know-Your-Customer / Anti-Money-Laundering (KYC/AML) checks in order to enable or continue providing certain Services, including but not limited to wallet access, withdrawals, payouts, creator monetization, or high value transactions. You expressly consent to provide identification documents and other information reasonably requested to satisfy KYC, AML and other compliance obligations. We may refuse, restrict or suspend access to features pending satisfactory completion of verification.
3.3 Security and Responsibility. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify UmiAi immediately upon becoming aware of any unauthorized use of your Account or any other security breach. We will not be liable for any losses arising out of unauthorized access to your Account except to the extent caused by our gross negligence or willful misconduct.
3.4 Multi-Account and Misuse. You must not create multiple Accounts to evade enforcement, ban evasion, duplicate rewards, or otherwise circumvent platform limits, unless expressly permitted by UmiAi. We reserve the right to suspend, consolidate, or terminate Accounts if we suspect abuse.
4. Provision of the Services; Modifications
4.1 Service Scope. UmiAi provides a global social platform that includes content creation and sharing, messaging, channels, AI Services, mini-apps and games, in-app purchases, creator monetization, advertising products, wallet and Digital Asset functionality, developer APIs, and related services. Features may change, be added, or removed from time to time.
4.2 Changes and Updates. We may modify, update, restrict, or discontinue any aspect of the Services, including pricing, features, or functionality, with or without notice. When we make material changes to these Terms we will provide reasonable notice as required by applicable law, but some changes may take effect immediately. Your continued use after such changes constitutes acceptance of the revised Terms.
4.3 Availability. We will use commercially reasonable efforts to make the Services available; however, we do not warrant uninterrupted access. Maintenance, upgrades, and third-party interruptions may cause unavailability.
5. User Content: Ownership, License, and Use
5.1 Ownership. You retain all ownership rights in your User Content; nothing in these Terms transfers ownership of your User Content to UmiAi except as expressly set out.
5.2 License to UmiAi. By posting or making available User Content on or through the Services, you grant UmiAi a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to copy, store, host, transmit, display, perform, distribute, modify, translate, create derivative works from, and otherwise use (including for promotion and advertising of the Services) such User Content in any media or format now known or later developed, for the purpose of operating, improving, developing, marketing and providing the Services and any related features (the “Platform License”). The Platform License survives termination of your Account solely to the extent necessary to effect the foregoing.
5.3 Representations and Warranties. You represent and warrant that: (a) you own or control all rights in your User Content and have the right to grant the licenses and consents granted in these Terms; (b) your User Content, and UmiAi’s exercise of the Platform License, will not infringe, misappropriate, or violate any third party rights, including intellectual property, privacy, publicity, or other personal or proprietary rights, and will not violate applicable law; and (c) your User Content will not contain malware, viruses, or content that would harm UmiAi’s systems or other users.
5.4 Public and Private Content. User Content that you designate as public may be viewed, shared, embedded, indexed, or otherwise used by third parties in accordance with the privacy settings you select. Content shared in private messages or private channels is not “public” but may be accessed, retained, or disclosed to third parties as required by law, as necessary to prevent harm, or for safety and compliance purposes.
5.5 Removal of User Content. UmiAi may remove, disable access to, or refuse to publish any User Content for any reason, including content that violates these Terms or our Community Guidelines, or when required by law or third-party rights. We will use commercially reasonable efforts to provide notice where appropriate, but we are not required to do so.
6. Acceptable Use; Prohibited Conduct
6.1 General Obligation. You agree to use the Services lawfully, in good faith, and in a manner that does not violate these Terms or any other policies published by UmiAi. Without limiting the foregoing, you will not: (a) post or transmit content that is unlawful, defamatory, libelous, obscene, pornographic, exploitative of minors, abusive, harassing, hateful, violent, or that violates any individual’s privacy; (b) promote, organize, or facilitate criminal activity, hate groups, or terrorism; (c) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; (d) access, tamper with, or use non-public areas of the Services or UmiAi’s systems; (e) use the Services to transmit viruses, trojans, worms, or other malicious code; (f) use robots, spiders, scrapers, or other automated means to access the Services, except where explicitly permitted by us; (g) artificially inflate views, likes, followers, rankings, or other metrics; or (h) buy, sell, lease or transfer Accounts, login credentials, User Content, or engagement in violation of our policies.
6.2 Financial Prohibitions. In connection with the wallet and Digital Asset features, you must not use the Services to facilitate money laundering, terrorist financing, sanctions evasion, illicit finance, or any fraud. You will comply with any transaction monitoring, reporting, or verification requests we make.
6.3 AI-Specific Restrictions. When using AI Services you will not submit prompts or content intended to produce: (a) illegal instructions or facilitation of wrongdoing; (b) child sexual or exploitative material; (c) instructions for creating weapons or bypassing safety systems; (d) targeted harassment, doxxing, or privacy invasion; (e) deepfakes or falsified material intended to deceive in contexts where disclosure is legally required; or (f) content that would otherwise violate these Terms.
6.4 Developer and Mini-App Restrictions. If you are a developer producing Mini-Apps or integrating via APIs, you must comply with our Developer Terms. You are responsible for the content and operation of your Mini-Apps and must not provide functionality that violates applicable law, facilitates gambling, or processes payments in a manner that circumvents platform rules or payment processors.
7. Moderation, Enforcement and Repeat Infringer Policy
7.1 Moderation. UmiAi enforces these Terms and our policies through a combination of automated systems and human review. Automated enforcement may include demotion of content, temporary limits, or automated removal. Human moderation will be applied where necessary. Enforcement decisions may be based on context and available signals; we reserve discretion in final decisions.
7.2 Reports and Takedown. Users may report content they believe violates these Terms. If UmiAi receives a valid legal notice or order or determines content violates our policies, we may remove content or restrict access. For copyright complaints, we respond to notices under the Singapore Copyright Act or applicable regimes and maintain a repeat-infringer policy.
7.3 Appeals and Remediation. Where feasible, we provide processes for appeal of moderation decisions. Appeals requests must follow the procedures we publish in the Help Center. Repeated or egregious violations may result in permanent termination of an Account. We may, at our discretion, provide notices, warnings, strikes, or temporary measures prior to termination.
7.4 Transparency Reports. We may publish transparency reports or summaries describing enforcement activity, government requests, or other moderation metrics; such reports are for informational purposes only and do not create legal rights.
8. Channels, Creator Monetization and Branded Content
8.1 Channels. Channels are user-created broadcast or feed spaces. Channel owners are responsible for managing and moderating channels, complying with applicable laws, and ensuring accurate disclosures for any sponsored, promoted, or paid content. Channels that function as paid subscription channels or that provide exclusive content may be subject to additional terms.
8.2 Creator Monetization. UmiAi may offer features that enable creators to monetize their content, including subscriptions, tips, rewards, paid content, or other monetization mechanisms. Creators must comply with our monetization terms, payout thresholds, verification requirements, and any tax or legal obligations. UmiAi reserves the right to deduct platform fees or hold payouts where required by law or under suspicious circumstances pending investigation.
8.3 Advertising and Branded Content. If you post advertising, sponsored, or branded content you must clearly and conspicuously disclose such arrangements in accordance with applicable law and UmiAi’s Advertising & Branded Content Policy. Failure to disclose paid relationships may lead to content removal, account sanctions, or forfeiture of monetization privileges.
9. Mini-Apps, Games and Third-Party Content
9.1 Third-Party Providers. Mini-Apps and games may be offered by third parties. All third-party services are subject to their own terms and privacy practices; we are not responsible for those practices. Use of third-party content is at your own risk.
9.2 Developer Obligations. Developers must ensure Mini-Apps comply with our policies, applicable law, and payment rules. Where Mini-Apps accept payments, developers are responsible for implementation, refunds, and compliance with platform billing policies, unless otherwise agreed.
9.3 Gambling and Age-Restricted Content. Gambling services, real money wagering, or unlicensed gambling is prohibited unless expressly permitted and licensed in your jurisdiction. Mini-Apps that include age-restricted content must implement appropriate age verification controls.
10. Wallet and Digital Assets
10.1 Custodial vs Non-Custodial. UmiAi may provide custodial wallet services (where UmiAi holds keys or otherwise maintains custody of Digital Assets) and/or non-custodial wallet interfaces (where you control private keys). The specific nature of the wallet services you use will be disclosed in the applicable Wallet Terms or feature page. If you use non-custodial wallet features, UmiAi does not control or store your private keys and cannot recover lost keys.
10.2 Transaction Irreversibility; Network Fees. Transactions executed on public blockchains may be final and irreversible. You are responsible for all network fees, gas fees, and third-party charges associated with transactions. UmiAi may also charge fees for custodial services, swaps, fiat on/off ramps, or other value-added services; fee schedules will be published where applicable.
10.3 Risk Acknowledgement. Digital Assets are volatile, may lose value, and may be impacted by technical or network failures. UmiAi does not guarantee the value, liquidity, or transferability of any Digital Assets and is not a broker, exchange, or fiduciary unless otherwise expressly stated in a separate agreement.
10.4 AML/Compliance; Suspicious Activity. UmiAi reserves the right to monitor wallet activity to comply with AML, sanctions, or other legal obligations. We may, at our sole discretion, limit, freeze, reverse, or refuse transactions, suspend wallet services, or close Accounts to prevent or respond to unlawful or suspicious activity, in accordance with applicable law.
10.5 Withdrawals and Limits. Withdrawal limits, processing delays, and supported currencies vary by jurisdiction and may be limited by regulatory obligations. You agree to abide by any limits or controls we impose and acknowledge that regulatory action can impact availability.
10.6 Tax and Regulatory Responsibility. You are solely responsible for your tax reporting and regulatory compliance relating to Digital Assets. UmiAi may report taxable events to relevant authorities where required by law.
11. Payments, Fees, Refunds, and Subscriptions
11.1 Payment Authorization. When you purchase goods or services, subscribe to a plan, or otherwise authorize charges within the Services, you authorize UmiAi and our payment providers to charge your chosen payment method. For purchases processed via third-party platforms (e.g., Apple App Store or Google Play), the app store’s terms and refund policies govern.
11.2 Fees and Revenue Share. UmiAi may charge fees for certain Services, including platform fees for creator monetization, transaction fees for wallet operations, developer fees for in-app purchases, or commissions on sales. Fee schedules and revenue share terms will be made available in applicable documentation and developer agreements.
11.3 Refund Policy. Refunds are governed by applicable law and the refund practices of the relevant payment processor or app store. Where UmiAi handles refunds directly, our refund policy will be published and may vary by product. We may refuse refunds where prohibited by law or where abuse is suspected.
11.4 Taxes. All prices are stated exclusive of applicable taxes unless otherwise indicated. You are responsible for any duties, sales taxes, VAT or other taxes applicable to your purchases. UmiAi may collect taxes where required by law.
12. Intellectual Property; DMCA and Copyright Claims
12.1 Platform IP. UmiAi and its licensors retain all right, title and interest in and to the Services (excluding User Content), including all related intellectual property rights. You agree not to modify, copy, distribute, display, or create derivative works of the Services except as expressly authorized.
12.2 Infringement Claims. If you believe that your content has been used in a manner that constitutes copyright infringement, please follow our copyright complaint procedures as posted in the Help Center. We will respond to valid notices in accordance with applicable law. Repeat infringers may have their Accounts terminated.
12.3 License to Use Trademarks. Any permission to use UmiAi trademarks or logos must be in writing and may be subject to additional agreements.
13. Privacy and Data Protection
13.1 Privacy Policy. Our Privacy Policy describes how we collect, use, store and disclose personal data. By using the Services you consent to our data collection and processing practices as described in the Privacy Policy.
13.2 Data Retention and Deletion. We may retain certain data after account termination to comply with legal obligations, prevent fraud, enforce the Terms, or for legitimate business purposes. Requests for deletion will be processed in accordance with the Privacy Policy and applicable laws.
13.3 Cross-Border Transfers. Because we operate globally, your data may be transferred to and processed in jurisdictions other than your country of residence. We implement appropriate safeguards where required by law.
14. Security, Incident Response, and Notifications
14.1 Security Measures. UmiAi applies industry standard administrative, technical, and physical safeguards intended to protect user data. Despite these measures, no system is completely secure and we cannot guarantee absolute security.
14.2 Incident Response. In the event of a security incident, data breach, or material compromise, UmiAi will respond in accordance with applicable law and industry practices. We will notify affected users and regulators as required by law and as detailed in our incident response procedures.
15. Third-Party Services, Integration and API Use
15.1 Third-Party Content. The Services may include content or links to Third-Party Services. UmiAi does not control third-party content and is not responsible for such content, services or products. Your use of third-party services is at your own risk and subject to the third party’s terms.
15.2 API and Developer Tools. Access to UmiAi APIs and developer tools is subject to the Developer Terms and any applicable rate limits, usage restrictions, and acceptable use policies. UmiAi may suspend or revoke API access for misuse.
16. Advertising, Promotions and Sponsorships
16.1 Ads and Sponsored Content. UmiAi and third parties may serve advertisements. Advertisers must comply with our advertising policies, and sponsored content must be clearly disclosed in accordance with applicable law and UmiAi’s disclosure requirements.
16.2 Promotions and Contests. Promotions hosted via the Services must comply with applicable laws and platform rules. If you run a promotion you are responsible for official rules, eligibility, and compliance.
17. Warranties and Disclaimers
To the maximum extent permitted by law, UmiAi provides the Services on an “AS IS” and “AS AVAILABLE” basis, and disclaims all warranties, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement. UmiAi does not warrant that the Services will be uninterrupted, error free, secure, or free from harmful components or that defects will be corrected.
18. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will UmiAi, its affiliates, officers, directors, employees, agents or suppliers be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of goodwill, loss of data, loss of access to Digital Assets, or other intangible losses arising out of or in connection with these Terms, the Services, or any content or transactions, even if UmiAi has been advised of the possibility of such damages. UmiAi’s aggregate liability for direct damages arising out of or relating to the Services shall be limited to the greater of (a) S$500 (or such greater amount as may be required by applicable law) or (b) the amount of fees actually paid by you to UmiAi in the 12 months preceding the claim.
19. Indemnification
You will indemnify, defend and hold harmless UmiAi, its officers, directors, employees, agents, affiliates and partners from and against any loss, liability, claim, damage, cost and expense (including reasonable legal fees) arising out of or relating to (a) your breach of these Terms, (b) your User Content, (c) your misuse of the Services or any Third-Party Services, or (d) your violation of applicable laws.
20. Termination and Suspension
20.1 Termination by UmiAi. We may suspend or terminate your access to the Services, or any specific feature, at any time for any or no reason, including for violations of these Terms, for security reasons, inactivity, or legal compliance.
20.2 Termination by You. You may close your Account by contacting us. Termination does not relieve you of obligations incurred prior to termination or affect rights and obligations that by their nature survive termination (including indemnification, limitation of liability, and license provisions).
20.3 Effect of Termination. Upon termination, your right to access and use the Services will immediately cease. We may retain and continue to use copies of User Content and other data as necessary to comply with legal obligations, resolve disputes, enforce these Terms, and for backup or archival purposes, in accordance with our Privacy Policy.
21. Governing Law and Dispute Resolution
21.1 Governing Law. These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.
21.2 Dispute Resolution. Except as otherwise required by applicable law, you and UmiAi shall first attempt to resolve any dispute informally by good faith negotiation. If the dispute cannot be resolved by negotiation within thirty (30) days, the dispute shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its arbitration rules then in effect. The seat of arbitration shall be Singapore, and the language of the arbitration shall be English. Each party hereby waives any right to a jury trial, and to participate in a class, consolidated or representative action. If arbitration is unavailable or unenforceable under applicable law, the exclusive courts located in Singapore shall have jurisdiction.
22. Export Controls; Sanctions
You agree not to use, export, re-export, transfer, or otherwise dispose of any UmiAi technology, software or materials in violation of applicable export control, economic sanctions or anti-boycott laws. UmiAi reserves the right to restrict or prohibit access to the Services from jurisdictions subject to comprehensive trade or economic sanctions.
23. Notices; Contact
23.1 Notices. We may provide notices to you through the Services, by email to the address associated with your Account, or through other reasonable means. Notice to UmiAi should be sent to [Legal Contact Email] or to the postal address set out on our website.
23.2 Agent for Service. For service of process or legal notices where required by law, please see the contact information on our website.
24. Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. UmiAi may assign, transfer or delegate these Terms and its rights and obligations hereunder to any affiliate or successor or in connection with a merger, acquisition or sale of assets.
25. Severability; Waiver; Entire Agreement
If any provision of these Terms is held to be invalid, illegal or unenforceable, such provision shall be struck and the remaining provisions shall continue in full force and effect. No waiver of any provision of these Terms will be a waiver of any other provision or of the same provision on another occasion. These Terms, together with any referenced policies and supplemental terms, constitute the entire agreement between you and UmiAi relating to the Services and supersede all prior or contemporaneous communications.
26. Survivability
Provisions which by their nature should survive termination or expiration shall so survive, including but not limited to sections concerning User Content license, indemnification, limitation of liability, ownership, confidentiality, governing law and dispute resolution.
27. Additional Policies and Supplemental Terms
UmiAi maintains and may update supplemental policies that govern specific features, including but not limited to: Privacy Policy, Community Guidelines, Advertising & Branded Content Policy, Developer Terms, Wallet Terms, Creator Monetization Terms, Mini-App Developer Terms, and Content Moderation Procedures. These supplemental terms are incorporated into these Terms by reference and are available via the Help Center and the applicable product pages. Where a conflict exists between these Terms and a supplemental policy, the supplemental policy will govern with respect to the specific feature it addresses.
28. Consumer Protections
If you are a consumer, certain provisions of these Terms do not apply to the extent they are inconsistent with mandatory local consumer protection laws. Nothing in these Terms is intended to limit your statutory rights as a consumer where such rights cannot be waived.
